1Acceptance of Terms

By accessing the TriNova AI Technologies website (trinovaai.ae) or engaging TriNova AI Technologies L.L.C-FZ ("TriNova AI", "we", "us") for any services, you ("Client", "User", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not access our website or engage our services.

These Terms apply to all visitors, clients, and any other party who accesses or uses our website and services. For corporate clients, the individual accepting these Terms represents and warrants that they have authority to bind the organisation.

2Company Information

3Scope of Services

TriNova AI provides artificial intelligence consultancy, technology implementation, software products, data analytics, machine learning solutions, workforce training programmes, and related professional services to enterprise clients across the UAE, GCC, and internationally ("Services").

The specific scope, deliverables, timelines, and commercial terms for each client engagement are defined in a separate Statement of Work (SOW), Master Services Agreement (MSA), or proposal document, which together with these Terms constitute the full agreement between the parties. In the event of a conflict between these Terms and a signed agreement, the signed agreement prevails.

4User Obligations

When using our website or services, you agree to:

• Provide accurate, complete, and current information where required
• Use the website and services only for lawful purposes and in accordance with applicable UAE law
• Not attempt to gain unauthorised access to our systems, networks, or data
• Not reproduce, distribute, or commercially exploit any website content without prior written consent
• Comply with all applicable UAE federal laws, emirate-level regulations, and Meydan Free Zone rules
• Not use our services to process, store, or transmit data in violation of any third party's rights or applicable law

5Engagement & Service Delivery

All client engagements are subject to:

• A signed proposal, SOW, or MSA prior to commencement of work
• Timely provision by the Client of required access, data, personnel, and approvals necessary for delivery
• Adherence to agreed project governance, milestones, and change control procedures

We reserve the right to suspend or terminate an engagement where the Client fails to fulfil its obligations, subject to reasonable written notice. Delays caused by the Client do not extend our liability for delivery.

6Fees & Payment

• Fees are as specified in the relevant proposal or SOW, denominated in UAE Dirhams (AED) or as otherwise agreed in writing
• Invoices are payable within 30 days of issue unless otherwise specified
• Late payment may attract interest at the rate permitted under UAE Commercial Transactions Law
• All fees are exclusive of applicable UAE Value Added Tax (VAT) at the prevailing rate (currently 5%), which will be charged in addition
• We reserve the right to suspend services if invoices remain unpaid beyond 14 days after the due date, following written notice
• Expenses incurred on the Client's behalf (travel, third-party licences, etc.) will be invoiced at cost unless a fixed-cost arrangement has been agreed

7Intellectual Property

7.1 TriNova AI Intellectual Property

All intellectual property rights in our website, marketing materials, proprietary methodologies, frameworks, software, tools, and pre-existing know-how ("TriNova IP") remain the exclusive property of TriNova AI Technologies L.L.C-FZ. Nothing in these Terms transfers ownership of TriNova IP to the Client.

7.2 Client Deliverables

Unless otherwise agreed in writing, custom deliverables produced specifically for a Client and fully paid for shall be owned by the Client upon receipt of full payment. TriNova AI retains a perpetual, royalty-free licence to use aggregated, anonymised insights from the engagement for service improvement and research purposes.

7.3 Client Data

All data, systems, and materials provided by the Client remain the Client's property. TriNova AI will use Client data solely for the purposes of delivering agreed services and will not share, sell, or exploit Client data for any other purpose.

8Warranties & Disclaimers

TriNova AI warrants that services will be delivered with reasonable skill, care, and professionalism in accordance with applicable industry standards. We do not warrant that:

• Our website will be uninterrupted, error-free, or free from viruses or malicious code
• AI-generated outputs will be 100% accurate, complete, or suitable for any specific purpose without human review
• Third-party platforms, APIs, or services integrated within our solutions will meet the Client's specific requirements

9Limitation of Liability

To the maximum extent permitted by UAE law:

• TriNova AI's total aggregate liability to a Client for any claims arising from or relating to a specific engagement shall not exceed the total fees paid by the Client to TriNova AI in the 12 months preceding the event giving rise to the claim
• TriNova AI shall not be liable for any indirect, consequential, incidental, punitive, or special losses, including lost profits, loss of data, loss of business, or reputational damage, whether arising in contract, tort, or otherwise
• Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other matter which cannot be excluded under applicable UAE law

10Indemnification

You agree to indemnify, defend, and hold harmless TriNova AI Technologies L.L.C-FZ and its officers, employees, and representatives from and against any claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms or any applicable law
• Your misuse of our services, website, or outputs
• Any third-party claims arising from data or materials you provided to us
• Infringement of any third-party intellectual property rights caused by your instructions or materials

11Confidentiality

Both parties agree to keep confidential all non-public information disclosed in connection with an engagement ("Confidential Information") and not to disclose it to any third party without prior written consent, except:

• Where required by UAE law, court order, or regulatory authority
• To professional advisers bound by equivalent confidentiality obligations
• Where the information has entered the public domain through no fault of the receiving party

Confidentiality obligations survive the termination of any engagement for a period of 3 years, or as otherwise specified in a signed agreement.

12Cybersecurity & Prohibited Use

In compliance with UAE Federal Law No. 5 of 2012 on Combating Cybercrimes (as amended by Federal Decree-Law No. 34 of 2021), you must not:

• Attempt to gain unauthorised access to our systems, servers, databases, or networks
• Introduce, transmit, or circulate malicious code, viruses, or harmful data
• Use our website or services to disseminate false, defamatory, or harmful content
• Use our AI services to generate content that violates UAE law, including content that incites hatred, religious intolerance, or threatens public order
• Use our services for any activity that breaches UAE cybercrime, financial crime, AML, or sanctions laws

TriNova AI reserves the right to immediately suspend access and report suspected violations to relevant UAE authorities, including the Telecommunications and Digital Government Regulatory Authority (TDRA).

13Force Majeure

TriNova AI shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including acts of God, pandemic, war, civil unrest, government orders, UAE regulatory directives, power or internet outages, cyberattacks on third-party infrastructure, or failure of third-party service providers. In such events, affected obligations are suspended for the duration of the force majeure event, and both parties will use reasonable efforts to mitigate its impact.

14Amendments

We reserve the right to update these Terms at any time. Material changes will be notified via our website or by direct communication. Continued use of our services following the publication of revised Terms constitutes acceptance. It is your responsibility to review these Terms periodically.

15Governing Law & Dispute Resolution

Any dispute arising from or in connection with these Terms or any engagement with TriNova AI shall be subject to the following process:

• Step 1 — Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice
• Step 2 — Mediation: If unresolved, the parties may refer the dispute to mediation through the Dubai International Arbitration Centre (DIAC) or a mutually agreed mediator
• Step 3 — Litigation: If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the Courts of Dubai

Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.
